With a huge variety of financial alternatives available for financing energy facilities, the Kutak Rock Alternative and Renewable Energy Group has represented lenders, investors, tax equity investors, mezzanine debt providers and others to arrange financing for projects as well as developers and contract providers seeking such financing. We have experience in tax-driven transactions involving structuring financing to maximize the tax benefits to investors as well as transactions involving Investment Tax Credit Grants, ITC, the Production Tax Credit and New Markets Tax Credits as well.
Large projects involve complex financial structures, and we are experienced in guiding our clients through the maze of financing alternatives and assisting them in selecting and closing on the right financing solutions for their projects involving wind, solar, biofuels, co-generation, battery technology, geothermal and traditional oil and gas transactions. Our involvement has included equity investments and merger and acquisitions transactions involving alternative and renewable energy.
The group has been a leader in developing legal structures for municipal utility systems, bond underwriters, oil and gas companies, commercial banks, commodity swap providers and other participants in gas prepayment transactions. In these financings, suppliers typically agree to provide natural gas to qualified municipalities or groups of qualified municipalities over a term that has sometimes reached 30 years, thereby ensuring both the security of the supply and favorable pricing for consumers.
The group also has represented clients in over a dozen gas prepayment bond transactions in California, Kentucky, Tennessee, Louisiana, Mississippi and New Mexico, facilitating the prepayment for more than $5 billion of natural gas.
The national public finance attorneys at Kutak Rock LLP have significant expertise and experience representing public utilities and publicly and privately held energy companies as bond and/or special counsel and investment banking firms as underwriter’s counsel in connection with a broad spectrum of energy-related financings.
