We regularly advise clients regarding deferred compensation plan design and compliance, including tax, securities and Employee Retirement Income Security Act (ERISA) advice. We have assisted with the design and management of various types of executive compensation plans (e.g., golden handcuffs and parachutes). We assist clients with Code Section 409A requirements as they relate to traditional deferred compensation arrangements and nontraditional plans and agreements. We assist employers with stock exchange, Securities and Exchange Commission (SEC) and Treasury rules and regulations, including preparation of filings. We review, analyze and restate plans and agreements with respect to all Internal Revenue Code provisions. Additionally, we are able to assist employers with respect to utilizing Code Section 409A correction programs.
